Terms of Service

Qorp provides a workspace for creative agencies and studios, including a CRM and pipeline tracker, project and invoice management, a content calendar, an AI Director chat assistant, and AI-powered modules such as Brand Audit, Outreach, Ballpark estimating, and (when available) Apparel Design and Mockup & Texture tools. Some features rely on third-party AI models and integrations (e.g. email, Instagram) as described in our Privacy Policy.

• You must provide accurate information when creating an account and keep your login credentials secure.
• You are responsible for all activity under your account, including actions taken by team members you invite (on Studio plans).
• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

• Qorp is offered on Starter (free), Pro, and Studio plans, each with a monthly AI-generation allowance as described on our Pricing page.
• Paid plans are billed in advance on a recurring basis. Fees are non-refundable except as required by law or expressly stated otherwise.
• We may change plan pricing or generation limits on notice; continued use after a price change takes effect constitutes acceptance.
• We may suspend AI-module access if your generation allowance is exhausted, until your plan renews or you upgrade.

• You retain ownership of the client data, brand materials, content, and other information you input into the Service ("Customer Data").
• You grant Qorp a limited license to process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.
• You represent that you have the right to input Customer Data (including your clients' personal information) into the Service, and that doing so complies with applicable data protection law, including the Nigeria Data Protection Act.
• Outputs generated by Qorp's AI modules (audits, campaign copy, outreach drafts, estimates) are provided for your use in your business; you are responsible for reviewing AI-generated content before sending it to clients or third parties, as AI outputs may contain errors.

You agree not to use the Service to:

• Send unsolicited bulk messages, spam, or communications that violate applicable anti-spam law or the terms of connected platforms (e.g. Meta's Instagram Platform Policy, email provider terms);
• Upload or process content that is unlawful, infringing, or that you do not have the right to use;
• Attempt to reverse-engineer, resell, or use the Service to build a competing product;
• Interfere with the security or normal operation of the Service, including via the API or webhooks.

The Outreach and Instagram auto-reply modules automate communications on your behalf; you remain responsible for the content sent and for compliance with each channel's rules and applicable law.

The Service integrates with third-party platforms (including Meta's Instagram Graph API, email/SMTP providers, Telegram, and Discord) at your direction. Your use of those integrations is also subject to the applicable third party's terms, and Qorp is not responsible for their availability or conduct.

If you use Qorp's REST API or configure outbound webhooks, you are responsible for securing your webhook endpoints and verifying webhook signatures as described in our developer documentation. Qorp may rate-limit or suspend API access that we reasonably believe is abusive or insecure.

Qorp and its licensors own all right, title, and interest in the Service, including its software, design, and the Qorp and Velo Noir Studio brand names and logos. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted.

The Service, including all AI-generated outputs, is provided "as is" without warranties of any kind, express or implied. We do not guarantee that AI-generated content, lead scores, forecasts, or estimates are accurate, complete, or suitable for any particular purpose, and you should exercise independent judgment before relying on them.

To the maximum extent permitted by law, Qorp's total liability arising out of or related to these Terms or the Service is limited to the amount you paid us in the 3 months preceding the claim, and Qorp is not liable for indirect, incidental, or consequential damages.

You may cancel your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or conduct that risks harm to the Service or other users. On termination, we will make reasonable efforts to allow you to export your Customer Data for [30] days, after which it may be deleted.

We may update these Terms from time to time. We will provide notice of material changes (e.g. by email or in-app notice), and continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be subject to the exclusive jurisdiction of the courts of Lagos State, unless the Parties agree to arbitration under the Arbitration and Mediation Act 2023.
